Welcome to Embodyd Wellness.

These Terms of Service (“Terms”) govern your access to and use of the Embodyd Wellness website, online store, products, services, communications, and related features (collectively, the “Services”).

The Services are operated by Embodyd Wellness, LLC (“Embodyd Wellness,” “we,” “us,” or “our”).

By accessing our website, browsing our store, placing an order, creating an account, subscribing to communications, or otherwise using our Services, you agree to these Terms and any additional policies referenced herein.

Please read these Terms carefully before using our Services.

1. ONLINE STORE TERMS

By using our Services, you represent that you are legally capable of entering into a binding agreement or that you are using the Services with the involvement and permission of a parent or legal guardian where required by applicable law.

You may not use our products or Services for unlawful or unauthorized purposes.

You may not use our website in a manner that violates applicable laws, infringes the rights of others, interferes with website functionality, or attempts to compromise the security of our Services.

A violation of these Terms may result in restriction or termination of access to the Services.

2. GENERAL CONDITIONS

We reserve the right to refuse service, cancel transactions, restrict access, or take other reasonable action when necessary to protect Embodyd Wellness, our customers, our service providers, or the integrity of our Services, subject to applicable law.

You agree not to reproduce, duplicate, copy, sell, resell, exploit, scrape, reverse engineer, or otherwise misuse any portion of the Services without our prior written permission, except as permitted by applicable law.

3. PRODUCTS & AVAILABILITY

We make reasonable efforts to display and describe our products accurately.

However, product appearance may vary slightly depending on factors such as:

• Screen or device settings
• Lighting
• Photography
• Production methods
• Fabric characteristics
• Garment-dye or wash processes
• Manufacturing tolerances
• Product batches

Colors displayed electronically cannot be guaranteed to exactly match the physical product.

Product availability is subject to change without notice.

We reserve the right to discontinue products, modify product specifications, limit quantities, or update product offerings at any time.

4. MADE-TO-ORDER PRODUCTS

Many Embodyd Wellness products are produced specifically after an order is placed.

Made-to-order products may require production and processing before shipment.

Because these products are produced specifically for an order, they are subject to the conditions described in our Returns, Exchanges & Refund Policy.

Customers are responsible for carefully reviewing product descriptions, available colors, quantities, and sizing information before placing an order.

Selecting the incorrect size, color, style, or quantity does not constitute a manufacturing or fulfillment defect.

5. SIZING & FIT

Sizing and fit may vary between garment styles, manufacturers, fabrics, and product categories.

Customers should review the applicable size chart and product information before purchasing.

Any size chart provided is intended to assist with product selection but does not guarantee a particular fit because individual body proportions and fit preferences vary.

When the product delivered matches the size selected by the customer, dissatisfaction with fit does not constitute an incorrect or defective product.

6. PRICING

Prices are displayed in the currency indicated on the website or at checkout.

We reserve the right to modify product prices at any time without prior notice.

Price changes do not generally affect orders that have already been successfully completed and accepted.

Taxes, shipping charges, duties, and other applicable charges may be added at checkout where required.

We reserve the right to correct obvious pricing, description, or technical errors.

If a significant error affects an order, we may contact you regarding available options, including cancellation and refund where appropriate.

7. ORDERS

Submitting an order does not necessarily guarantee acceptance.

We reserve the right to decline, limit, or cancel an order when reasonably necessary, including in situations involving:

• Suspected fraud
• Unauthorized transactions
• Pricing or technical errors
• Product unavailability
• Fulfillment limitations
• Incorrect inventory information
• Violation of these Terms

If we cancel an order after payment has been collected and no product has been provided, an appropriate refund will be issued.

Customers are responsible for providing complete and accurate billing, shipping, contact, and payment information.

8. ORDER CHANGES & CANCELLATIONS

Production may begin shortly after an order is placed.

If you need to request a change or cancellation, contact Embodyd Wellness as soon as possible.

We will make a reasonable effort to accommodate requests before production or fulfillment begins, but changes and cancellations cannot be guaranteed.

Once an order has entered production or fulfillment, it generally cannot be changed or canceled.

9. PAYMENT

Payment must be successfully authorized before an order can be processed.

Payments may be processed through Shopify and other authorized payment providers.

By submitting payment information, you represent that you are authorized to use the payment method provided.

We reserve the right to take reasonable measures to verify transactions and prevent fraudulent or unauthorized purchases.

10. SHIPPING & DELIVERY

Shipping charges, available methods, and estimated delivery times may vary based on:

• Products ordered
• Quantity
• Package weight
• Destination
• Fulfillment location
• Available carrier or shipping method

The applicable shipping charge will be displayed at checkout before payment is completed.

Some orders may contain products produced or fulfilled from different locations. As a result, an order may arrive in multiple packages, on different dates, through different carriers, or with separate tracking numbers.

Production time is separate from carrier transit time.

Delivery dates and transit times are estimates unless expressly stated otherwise.

11. LOCAL DELIVERY & PICKUP

Local delivery or pickup may be available for qualifying products and locations.

Availability is determined during checkout.

Not every Embodyd Wellness product qualifies for local delivery or pickup because certain merchandise may be produced or fulfilled from another location.

Customers selecting pickup should wait until they receive confirmation that the order is ready before arriving to collect it.

12. INTERNATIONAL ORDERS

International shipping may be available to certain destinations.

International orders may be subject to customs procedures, import duties, taxes, brokerage fees, or other government-imposed charges.

Unless specifically stated otherwise at checkout, customers are responsible for applicable import duties, customs charges, or similar fees imposed by their jurisdiction.

International delivery times may vary because of customs clearance, local carriers, regulatory requirements, or other circumstances outside our reasonable control.

13. RETURNS, EXCHANGES & REFUNDS

Many Embodyd Wellness products are made to order.

We do not offer standard returns or exchanges for reasons including:

• Incorrect size selected by the customer
• Incorrect color selected by the customer
• Change of mind
• Buyer’s remorse
• Preference regarding fit or style
• Accidental orders
• Products correctly produced according to the order submitted

Damaged, defective, misprinted, mislabeled, or incorrectly fulfilled merchandise may qualify for an appropriate resolution when reported in accordance with our Returns, Exchanges & Refund Policy.

Customers should report qualifying problems within 7 days of delivery and provide the requested documentation.

Our complete Returns, Exchanges & Refund Policy is incorporated into these Terms.

14. SHIPPING ADDRESSES

Customers are responsible for providing complete and accurate shipping information.

Embodyd Wellness is not responsible for delivery problems caused by incorrect or incomplete information submitted by the customer.

If an order must be reshipped because of customer-provided address information, additional shipping charges may apply.

Address changes cannot be guaranteed after production or fulfillment begins.

15. LOST, DELAYED OR DELIVERED PACKAGES

If a shipment appears lost or significantly delayed, contact Embodyd Wellness so the available tracking information can be reviewed.

Claims may require investigation by the applicable fulfillment provider or shipping carrier.

When tracking shows a package as delivered, customers should first check the delivery location, household members, neighbors where appropriate, and contact the applicable carrier.

A carrier’s confirmed delivery may require investigation before a replacement or refund can be considered.

16. INTELLECTUAL PROPERTY

The Embodyd Wellness website and brand materials, including applicable:

• Brand names
• Logos
• Graphics
• Artwork
• Product designs
• Photographs
• Videos
• Written content
• Campaign materials
• Marketing materials
• Website design elements
• Slogans and other original content

are owned by or licensed to Embodyd Wellness and are protected by applicable intellectual-property laws.

This includes Embodyd Wellness branding and original brand expressions, including “Train The Body. Train The Mind.” and “Wellness is an Active Process,” to the extent protected by applicable intellectual-property rights.

Nothing in these Terms grants you ownership of Embodyd Wellness intellectual property.

You may not reproduce, manufacture, copy, distribute, sell, commercially exploit, or create unauthorized derivative works from protected Embodyd Wellness materials without appropriate authorization.

17. USER CONTENT, REVIEWS & FEEDBACK

If you submit reviews, photographs, comments, feedback, suggestions, or other content to Embodyd Wellness, you represent that you have the right to submit that material.

You may not submit content that is unlawful, fraudulent, defamatory, threatening, infringing, malicious, or otherwise violates the rights of another person.

Where permitted by law, you grant Embodyd Wellness a non-exclusive right to use content you voluntarily submit to us for legitimate business purposes, including displaying customer reviews or feedback, subject to applicable privacy and intellectual-property laws.

We are not obligated to use submitted content.

18. PROHIBITED USES

You may not use our Services to:

• Violate applicable laws or regulations
• Infringe intellectual-property rights
• Submit false or misleading information
• Transmit malware or harmful code
• Attempt unauthorized access to our systems
• Interfere with website security
• Scrape or harvest information unlawfully

We reserve the right to restrict access where we reasonably believe these Terms have been violated.

Our Services may rely on or contain links to third-party services, including ecommerce, payment, fulfillment, shipping, analytics, marketing, social-media, or other technology providers.

Third-party services may be governed by their own terms and privacy policies.

Embodyd Wellness is not responsible for third-party websites or services outside our reasonable control.

20. SHOPIFY

Our online store is powered by Shopify.

Certain aspects of the shopping experience, including ecommerce functionality, checkout, payments, security, and other features, may be provided or supported by Shopify and its associated services.

Your use of those features may also be subject to applicable Shopify terms and privacy practices.

21. SMS & MOBILE COMMUNICATIONS

If Embodyd Wellness offers SMS or text-message communications and you voluntarily opt in, you consent to receive the types of messages described when you provide that consent.

Messages may include promotional, informational, transactional, or customer-service communications, depending on the program you joined.

Message frequency may vary. Message and data rates may apply.

Consent to receive promotional SMS messages is not a condition of purchasing products where prohibited by applicable law.

You may opt out of promotional SMS communications at any time by replying STOP to an applicable message or following the opt-out instructions provided.

You may receive a confirmation message after opting out.

For assistance, follow the instructions provided in the applicable message or contact Embodyd Wellness.

Mobile carriers are not responsible for delayed or undelivered messages.

Our collection and use of personal information associated with SMS communications is also governed by our Privacy Policy.

22. EMAIL MARKETING

If you subscribe to marketing emails, we may send information about products, collections, launches, promotions, or other Embodyd Wellness updates.

You may unsubscribe from promotional emails using the unsubscribe link provided in the communication.

Unsubscribing from marketing does not prevent us from sending necessary transactional communications relating to orders or customer-service matters.

23. PRIVACY

Our collection and processing of personal information is described in our Privacy Policy, which is incorporated into these Terms.

By using our Services, you acknowledge that personal information may be processed as described in that policy and as otherwise permitted by applicable law.

24. ACCURACY OF INFORMATION

We make reasonable efforts to ensure information presented through our Services is accurate.

However, our website may occasionally contain typographical errors, inaccuracies, omissions, outdated information, or technical errors involving product descriptions, pricing, availability, promotions, shipping, or other information.

We reserve the right to correct errors and update information as appropriate.

25. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

We do not guarantee that the Services will always be uninterrupted, completely error-free, or available without delay.

Nothing in these Terms excludes warranties, guarantees, or consumer rights that cannot legally be excluded.

26. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Embodyd Wellness, LLC and its owners, employees, representatives, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of the Services.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

27. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Embodyd Wellness, LLC and its applicable owners, employees, representatives, and affiliates from claims, liabilities, losses, damages, and reasonable expenses arising from your unlawful misuse of the Services, violation of these Terms, or infringement of another party’s rights.

28. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.

The remaining provisions will continue in effect.

29. WAIVER

Failure by Embodyd Wellness to enforce a provision of these Terms does not constitute a permanent waiver of that provision or any other right.

30. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Shipping & Delivery Policy, Returns, Exchanges & Refund Policy, and other policies expressly incorporated herein, constitute the agreement governing your use of the Services to the extent permitted by applicable law.

31. GOVERNING LAW

These Terms and any disputes arising from or relating to the Services will be governed by applicable laws of the State of New Jersey and the United States, without regard to conflict-of-law principles, except where applicable consumer-protection law requires otherwise.

Nothing in this section deprives a consumer of mandatory rights provided by applicable law.

32. CHANGES TO THESE TERMS

We may update these Terms periodically to reflect changes to our:

• Technology
• Policies
• Legal or regulatory obligations

The updated Terms will be posted through our Services with a revised Last Updated date.

Changes will apply prospectively as required by applicable law.
